PayNow payments must be made within 24 hours of order placement, we will only process such upon receiving a receipt of payment from you. The liability of such frauds will be on the user and the culpability to prove otherwise shall be on you and/or the user of the credit card, debit card, and/or electronic payment methods.

By using the Site, you agree to defend, indemnify and hold harmless Ululada, and its parents, officers, directors, agents, subsidiaries, joint ventures, employees, and third-party service providers, from all claims, demands, losses, liabilities, costs, expenses, obligations and damages of every kind, including reasonable attorneys’ fees, arising out of (i) your use of and access to the Site, (ii) your violation of any Terms of Service, (iii) a breach of your representations and warranties set forth above regarding content, (iv) your violation of any law or rights of a third-party (including, without limitation, any copyright, property or privacy right), (v) any claim that any content submitted by you caused damaged to a third-party. You agree to cooperate as fully as reasonably required in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by the applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Force Majeure
Transmission over the Internet and electronic mail may be subject to interruption, blackout, or delays due to internet traffic, or incorrect data transmission due to the public nature of the internet. You acknowledge that we will not be liable for any non-compliance with any of the obligations we assume under a Contract when caused by events that are beyond our reasonable control.

Force Majeure events shall include any act, event, failure to exercise, omission, or accident that is beyond our reasonable control, including, among others, are as stated:

1. strike, lockout, or other forms of protest;
2. civil unrest, revolt, invasion, terrorist attack or terrorist threat, war (declared or not) or threat or preparation of war;
3. fire, explosion, storm, flood, earthquake, collapse, epidemic, or any other naturaldisaster;
4. inability to use transportation, including trains, ships, aircraft, motorized transport,logistics delivery or other means of transportation, public or private;
5. inability to use public or private telecommunications systems
6. acts, decrees, legislation, regulations or restrictions of any government or publicauthority; or
7. failure or accident in maritime or river transport, postal transport or other type oftransport.

It shall be understood that our obligations deriving from Contracts are suspended during the period in which a Fore Majeure event remains in effect and may require an extension of period to fulfill these obligations.

Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.These Terms of Service are effective unless and until terminated by either party. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using the Site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any Terms of Service or provision of these Terms of Service, we may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to your Services (or any part thereof).

Entire Agreement
Failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service of Ululada read with the contract, constitutes the entire agreement between Ululada and you, and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations, and undertakings between you and us, whether written or oral, relating to this subject matter (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

Governing Law and Forum
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and interpreted in accordance with the laws of the Republic of Singapore.
You are hereby irrevocably agreed that any legal action and proceeding arising under or relating to this Agreement shall be bought in the court of Singapore with a compete jurisdiction.
